Articles of Incorporation and
Revised Bylaws
Adopted October 30, 2009;
Amended May 21, 2010
The RESOLUTIONS AND BY-LAWS COMMITTEE submitted resolutions
for consideration at the Chapter’s annual business meeting on October 30, 2009,
in Roanoke, to approve
a new Articles of Incorporation as drafted by an attorney assisting the Chapter
with incorporation and to revise the Chapter By-Laws. These changes came from
the many meetings of the Resolution and By-Laws Committee, the attorney, and
from the recent changes to the APCO International By-Laws. These changes, as
amended and adopted by the Chapter, allow the Chapter bylaws and the
International by-laws to better conform to each other. The new set of bylaws
replaces the previous Constitution and Bylaws of the Virginia Chapter. The Chapter is now
officially incorporated. During the process of incorporation, the attorney notified
the board of certain changes/additions that should be made to our current
Bylaws as either housekeeping issues or matters of Virginia law. These changes make
things stronger for the Chapter and better protect the Board of Directors. The
recommendations were addressed in six specific areas of concern, and were
approved at the Virginia APCO Business meeting to be held on Friday, May 21 in
Virginia Beach. The amended version of
the Chapter Bylaws is available for review or download.

Our
attorney updated the document to reflect changes made by the Chapter, and the
revision will be posted when available.
The changes are minor and do not change the intent of the document.
